5. Accounts
Where an account or access credentials are provided, you are responsible for keeping them accurate and secure, and for all activity that occurs under them. Notify us promptly of any unauthorized use.
6. User obligations and prohibited conduct
You agree not to misuse the services. Prohibited conduct includes violating applicable law, infringing others' rights, uploading malicious code, attempting to gain unauthorized access, or using the services to distribute unlawful, deceptive, or harmful content.
7. Intellectual property
The North Horizon Media name, logo, website, and original materials are our property or licensed to us. Ownership of deliverables we create for you, and of any content we license, is governed by the applicable proposal or licensing agreement; absent that, deliverables transfer to you upon full payment, while we retain rights to our pre-existing tools and know-how.
8. User-generated content
If you provide us with content, assets, or account access, you grant us a limited license to use them solely to deliver the services. You represent that you have the rights to grant this license. We will remove or stop using your content on reasonable written request, subject to work already performed.
9. Payment terms
Fees, billing schedules, and any applicable taxes are set out in your proposal or order form. Unless stated otherwise, invoices are due on receipt. Where an engagement includes a revenue-share arrangement, the calculation, reporting, and payment terms are defined in that agreement. Refunds, if any, follow the terms of the relevant proposal.
10. Subscriptions and retainers
Retainer and subscription engagements renew and cancel according to the term stated in your agreement. Unless otherwise agreed, either party may decline renewal with written notice before the end of the current term.
11. Third-party platforms
Our services often rely on third-party streaming, social, advertising, and payment platforms. We do not control those platforms' rules, algorithms, availability, or payouts, and we are not responsible for changes they make. Your use of those platforms is subject to their own terms.
12. Disclaimers
The services are provided "as is" and "as available." We do not warrant any specific audience size, reach, ranking, or revenue outcome. Content performance depends on many factors outside our control, including platform behavior and audience response.
13. Limitation of liability
To the maximum extent permitted by law, North Horizon Media will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the amounts you paid us for the services giving rise to the claim in the twelve months preceding it.
14. Indemnification
You agree to indemnify and hold harmless North Horizon Media from claims, damages, and expenses arising out of your content, your use of the services, or your breach of these Terms.
15. Termination
Either party may terminate an engagement as set out in the applicable agreement, or immediately for material breach that is not cured within a reasonable period. On termination, you remain responsible for fees for work performed up to the termination date.
16. Modifications to the services
We may add, change, or discontinue features of our website or services at any time. Where a change materially affects an active engagement, we will discuss it with you.
17. Modifications to these terms
We may update these Terms from time to time. The "Last updated" date reflects the latest version. Material changes will be communicated where reasonable, and continued use after changes take effect constitutes acceptance.
18. Governing law and jurisdiction
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles.
19. Dispute resolution
The parties will first attempt to resolve any dispute informally through good-faith negotiation. If that fails, disputes will be resolved through binding arbitration or the courts located in the State of Wyoming, as applicable and permitted by law.
20. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
21. Entire agreement
These Terms, together with any proposal, statement of work, or order form referencing them, constitute the entire agreement between you and North Horizon Media regarding the services.
